In these Terms and Conditions, the following terms carry specific meanings. "Service" refers to the AI integration consulting, advisory, and implementation services offered by Cognivault. "User" or "you" means any individual or entity accessing our website or engaging our services. "We," "us," or "our" refers to Cognivault, registered and operating in Bangkok, Thailand. "Content" encompasses all text, images, data, software, and other materials available on or through our website. "Agreement" means these Terms and Conditions, together with our Privacy Policy and Cookie Policy, which collectively govern your relationship with Cognivault.

2. Acceptance of Terms

By accessing our website or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to any part of these terms, you should discontinue use of our website and services immediately.

You must be at least 18 years of age or the legal age of majority in your jurisdiction to enter into this agreement. By using our services, you represent that you have the legal capacity to form a binding contract under applicable Thai law.

3. Description of Services

Cognivault provides AI integration consulting services to businesses, including but not limited to: AI Landscape and Vendor Assessment, AI-Powered Supply Chain Intelligence, and Comprehensive AI Integration Partnership programs. Our services are designed to help organizations evaluate, adopt, and integrate artificial intelligence tools into their existing operations.

Service availability may vary based on project scope, current capacity, and geographic considerations. We reserve the right to modify, suspend, or discontinue any part of our service offerings at any time, with reasonable notice where existing engagements are affected.

4. User Responsibilities

When using our website or engaging our services, you agree to provide accurate and complete information in all forms and communications. You are responsible for maintaining the confidentiality of any account credentials or project access details shared with you during the course of our engagement.

Acceptable use: You agree to use our website and services only for lawful purposes and in a manner consistent with these terms. You may not attempt to interfere with the proper functioning of our website, reverse-engineer any software or systems we provide, or use our content for purposes that compete directly with our business without written permission.

Prohibited activities: You may not misrepresent your identity or affiliation when contacting us, submit false or misleading information through our forms, attempt to gain unauthorized access to our systems or networks, or use automated tools to scrape or harvest content from our website.

5. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, icons, methodology descriptions, frameworks, and software, is the property of Cognivault or its licensors and is protected by Thai and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and view our website content for personal or internal business evaluation purposes. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

Client deliverables: Intellectual property rights relating to custom deliverables produced during an engagement will be defined in the individual service agreement or statement of work for that project. In the absence of a separate written agreement, Cognivault retains ownership of all proprietary methodologies, tools, and frameworks used in delivering the service.

6. Payment Terms

Pricing for our services is quoted in Thai Baht (฿) unless otherwise agreed in writing. Specific pricing, payment schedules, and invoicing procedures are outlined in individual service agreements or proposals issued for each engagement.

Refund policy: Refund eligibility depends on the nature of the engagement and the stage of delivery. For assessment services, a partial refund may be available if the engagement is cancelled before delivery of findings. For ongoing partnership programs, termination and refund terms are specified in the relevant service agreement. Detailed refund procedures can be discussed with our team directly.

7. Service-Specific Terms

AI Landscape and Vendor Assessment: This service involves a structured review of your current operations and an evaluation of available AI vendors suited to your business context. The assessment report represents our professional opinion at the time of delivery and is not a binding recommendation to purchase any specific product or service from a third-party vendor.

AI-Powered Supply Chain Intelligence: Implementation timelines and results depend on the quality and completeness of data you provide, as well as the cooperation of your internal teams. We will work diligently to deliver within agreed timeframes, but delays caused by data availability or third-party dependencies may extend project duration.

Comprehensive AI Integration Partnership: Quarterly partnership engagements renew upon mutual written agreement. Either party may elect not to renew at the conclusion of any quarter by providing written notice at least 15 business days before the end of the current period.

8. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or trade secrets disclosed during the course of an engagement. This obligation survives termination of the agreement for a period of two years. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

9. Disclaimers

Our services are provided on an "as is" and "as available" basis. While we strive to deliver valuable insights and practical implementation support, we do not warrant that our services will produce any particular business outcome. AI adoption involves inherent uncertainties, and results can vary depending on organizational readiness, data quality, market conditions, and other factors outside our control.

Nothing on our website or in our service deliverables should be construed as legal, financial, or technical advice beyond the scope of AI integration consulting. For matters outside this scope, we recommend consulting appropriate professionals.

10. Limitation of Liability

To the fullest extent permitted by Thai law, Cognivault's total liability for any claim arising from or related to our services shall not exceed the total fees paid by you for the specific service engagement giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Neither party shall be held responsible for failures or delays resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, power outages, telecommunications failures, or pandemics.

11. Indemnification

You agree to indemnify and hold harmless Cognivault, its directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of our services, or your violation of any applicable law or regulation.

12. Termination

Either party may terminate an active service engagement by providing written notice as outlined in the individual service agreement. In the absence of specific terms, either party may terminate by providing 30 days' written notice.

Upon termination, you remain responsible for payment of any fees accrued prior to the termination date. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination of these terms.

13. Dispute Resolution

These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these terms shall first be addressed through good-faith negotiation between the parties.

If negotiation does not resolve the dispute within 30 days, either party may submit the matter to mediation administered by the Thailand Arbitration Center. If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of Bangkok, Thailand.

14. General Provisions

Entire agreement: These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any individual service agreements, constitute the entire agreement between you and Cognivault regarding the subject matter herein.

Severability: If any provision of these terms is found to be unenforceable or invalid by a competent court, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices: Notices required under these terms should be sent to [email protected] for matters directed to us, or to the email address you provided during your most recent engagement for matters directed to you.

15. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, business practices, or applicable law. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
